TERMS AND CONDITIONS
RESCUE TC LLC
Effective Date: October 1, 2025
1. ACCEPTANCE OF TERMS
By engaging the services of Rescue TC LLC ("Company," "we," "us," or "our"), you ("Client," "Agent," "you," or "your") agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and Rescue TC LLC. If you do not agree to these terms, please do not use our services.
2. SERVICES PROVIDED
Rescue TC LLC provides transaction coordination services for real estate professionals, including but not limited to:

• Contract to close management

• Document review and preparation

• Timeline and deadline management

• Compliance monitoring

• Vendor coordination

• Communication with transaction parties

• Digital file management

• Closing coordination

The specific scope of services will be outlined in the Service Agreement or engagement letter provided to each Client.
3. CLIENT/AGENT RESPONSIBILITIES
The Client agrees to:

• Provide complete, accurate, and timely information and documentation necessary for transaction coordination

• Grant appropriate access to transaction management software, MLS systems, and other platforms required to perform services

• Maintain active real estate license(s) in good standing

• Retain ultimate responsibility for all transactions and compliance with applicable laws and regulations. Agent/Broker understand that all documents prepared by Rescue TC LLC and its employees are all DRAFTED contracts meant to be reviewed by the agent and/or their principal broker prior to sending for signatures. Rescue TC LLC does not negotiate on behalf of the agent or client. All negotiation questions will be directed to the agent. 

• Communicate any changes, updates, or issues related to transactions promptly

• Review all documents and communications before submission or distribution

4. INDEPENDENT CONTRACTOR RELATIONSHIP
Rescue TC LLC operates as an independent contractor and not as an employee, agent, or partner of the Client or their brokerage. We do not provide legal advice, real estate brokerage services, or licensed real estate services. The Client retains full responsibility for all licensed real estate activities and final decision-making.
5. FEES AND PAYMENT

• Service fees will be outlined in the Service Agreement or provided upon request

• Payment is due according to the terms specified in the Service Agreement

• Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law

• The Company reserves the right to suspend services for accounts with past-due balances

• All fees are non-refundable unless otherwise specified in writing

6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Rescue TC LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services

• Our total liability for any claim shall not exceed the amount of fees paid by the Client for services in the three (3) months preceding the claim

• We are not liable for errors, omissions, or delays caused by incomplete or inaccurate information provided by the Client

• We are not responsible for the actions or omissions of third parties including but not limited to buyers, sellers, lenders, title companies, inspectors, or other transaction parties

• We are not liable for technology failures, system outages, or force majeure events beyond our reasonable control

The Client acknowledges that Rescue TC LLC provides administrative support services only and does not guarantee transaction outcomes, closing dates, or commission payments.
7. INDEMNIFICATION
The Client agrees to indemnify, defend, and hold harmless Rescue TC LLC, its owners, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• The Client's breach of these Terms and Conditions

• The Client's negligence or willful misconduct

• Any violation of applicable laws or regulations by the Client

• Any claims by third parties related to transactions coordinated under this agreement

8. CONFIDENTIALITY
Rescue TC LLC agrees to maintain the confidentiality of all Client information and transaction data. We will not disclose confidential information to third parties except:

• As necessary to perform our services

• With the Client's written consent

• As required by law or legal process

• To protect our rights or defend against claims

The Client grants permission for Rescue TC LLC to access and use transaction information solely for the purpose of providing coordination services.
9. DATA SECURITY AND PRIVACY
We implement reasonable security measures to protect Client data. However, no system is completely secure, and we cannot guarantee absolute security. The Client acknowledges the inherent risks of electronic transmission and storage of data.
We comply with applicable privacy laws and regulations. Our use of Client data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. INTELLECTUAL PROPERTY
All materials, systems, processes, and content created or provided by Rescue TC LLC remain our exclusive property. The Client is granted a limited, non-exclusive license to use such materials solely in connection with our services.
11. TERMINATION
Either party may terminate services with written notice:

• Client may terminate with seven (7) days' written notice

• Company may terminate with seven (7) days' written notice

• Either party may terminate immediately for material breach after providing opportunity to cure

Upon termination:

• Client remains responsible for all fees for services rendered through the termination date

• Client must pay for any transactions in progress at the per-transaction rate

• Company will provide Client with access to transaction files for a period of thirty (30) days

12. NO GUARANTEE OF RESULTS
Rescue TC LLC makes no guarantees regarding transaction outcomes, closing dates, commission amounts, or any other results. Our services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
13. COMPLIANCE WITH LAWS
The Client is responsible for ensuring compliance with all applicable federal, state, and local laws, regulations, and professional standards, including but not limited to:

• Real estate licensing requirements

• Fair housing laws

• Consumer protection regulations

• Brokerage policies and procedures

• MLS rules and regulations

14. COMMUNICATION
All notices required under these Terms must be provided in writing via:

• Email to the address on file

• Certified mail to the business address on file

Notices are deemed received when sent via email or three (3) days after mailing.
15. DISPUTE RESOLUTION
Governing Law: These Terms shall be governed by the laws of the State of Utah without regard to conflict of law principles.
Arbitration: Any dispute arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Utah. Each party shall bear their own costs and attorneys' fees.
Exceptions: Either party may seek injunctive relief in court for breach of confidentiality or intellectual property rights.
16. MODIFICATIONS
Rescue TC LLC reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes via email or through our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
17. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. ENTIRE AGREEMENT
These Terms and Conditions, together with any Service Agreement and Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and communications, whether written or oral.
19. NO WAIVER
The failure of Rescue TC LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
